What Tala Does for Your Studio
Tala is the operating layer for your studio. We run the software, you run the business. Your studio ("the Studio") uses Tala, and Sihaya LLC ("Tala" or "we") provides the service.
Everything listed below is included in your subscription. No tiers, no add-ons, no upsells.
- AI studio manager — a chat interface that knows your members, classes, revenue, and schedule in real time.
- Class scheduling, booking, waitlists, and capacity management.
- Member accounts, memberships, class packs, intro offers, gift cards, and referrals.
- Payment processing for member transactions via Stripe, deposited directly to your Stripe account.
- Point-of-sale and retail: product inventory, front-desk sales, tax calculation, receipt printing.
- A branded member app at a Tala URL (withtala.com/practice/your-slug) — or optionally your own custom domain if your technical setup allows.
- Automated member communications: booking confirmations, reminders, cancellations, waitlist promotions, failed-payment recovery.
- An AI text line: members text your Tala phone number for schedule info, account questions, booking help. We answer in your voice.
- Teacher portal: schedules, substitute coverage, availability, pay tracking.
- Data migration from your existing software (MindBody, Walla, Momence, Pike13, Glofox, spreadsheets — anything we can read) at no additional cost. We handle this for you.
- Analytics, revenue reporting, retention tracking, and member-growth insights.
- Ongoing technical support and continuous product improvements pushed automatically.
What It Costs
One dollar per active member per lunar cycle — about 30 days. No setup fees, no minimums, no per-transaction markup, no contract you have to escape from.
An active member is anyone with a current membership, an open class pack with remaining credits, or at least one class attendance during the cycle. We count what counts, not what's on paper.
When Billing Starts
Your first lunar cycle on Tala is free. Billing starts at the end of that first cycle — approximately 30 days after go-live, or the day you cancel your previous software, whichever comes first.
Charges are automatic on the Studio's payment method on file. Stripe is the payment processor. We don't store card numbers directly.
The Satisfaction Guarantee
If the Studio is not 100% satisfied at the end of any billing cycle, that cycle is free. No questions asked. Just tell us — reply to any invoice email, text, or call Justin directly.
This is not a refund policy (we hate those). It's a promise: you never pay for a month Tala didn't earn.
How Member Payments Flow
All payments from your members to your Studio are processed through Stripe and deposited directly into the Studio's Stripe account. Tala does not hold, route, skim, delay, or take a percentage of member payments. Ever.
Tala's own fee (Section 2) is billed separately from your members' payments. Standard Stripe processing fees apply and are published by Stripe, not by us.
Your Data Is Yours
The Studio owns its member list, class history, financial records, branding, and every piece of content it puts into Tala. We maintain the infrastructure. You own the data.
We will never sell, rent, lease, or share Studio data with any third party for marketing purposes. We will not contact your members for marketing purposes. We will not use your data to train AI models used by other studios without your explicit opt-in.
If you cancel, we export everything within 7 business days in standard formats (CSV, JSON, nothing proprietary). We will help you move to another system if you decide to go elsewhere, and we will not hold your data hostage to extract a last payment.
If a Studio discontinues service, member accounts remain accessible to the member for their own records (booking history, receipts). Members may independently choose to join other Tala studios on their own. Tala will not actively solicit or redirect a Studio's members to competitors.
Privacy, Security, and Data Breach
All data is stored encrypted at rest and in transit. We follow reasonable industry-standard security practices (the same class of protections used by banks and healthcare platforms). No system is perfectly secure, and we make no representation that it is.
If a breach affects Studio data, we will notify the Studio within 72 hours of discovery, provide details of what was accessed, and coordinate on member notification as appropriate under applicable law. The Studio agrees to cooperate in any good-faith investigation.
We comply with applicable privacy regulations including CCPA and equivalent state laws. A full privacy policy lives at withtala.com/privacy and is incorporated by reference.
About Your Teachers
Teachers are engaged by the Studio, not by Tala. Tala is not the employer, contractor, or agent of any teacher. The Studio decides who teaches, what they get paid, and on what terms.
Tala provides teacher-portal access as part of the service. Teachers may maintain their own Tala accounts and may teach at multiple studios on the Tala network. The Studio controls which teachers are linked to its account and can revoke access at any time.

We aim to respond within 24 hours on business days. For urgent issues (site down, payments broken, something on fire), we respond the same day.

Uptime and Service Availability
We target 99.5% monthly uptime excluding scheduled maintenance. We do not guarantee uninterrupted service. The internet is not perfect, and neither are we, but we care a lot about keeping things running.
Scheduled maintenance will be announced in advance when practical. Emergency maintenance may occur without notice to preserve security or data integrity.
What Happens If a Payment Fails
Life happens. Cards expire. Banks block transfers for no reason. Here's our dunning rhythm if a Tala invoice fails:
- We retry immediately.
- We retry again in 3 days.
- We retry a final time after 7 days.
If all three retries fail, we pause new service (no new member charges processed through Tala) but keep all existing data and member access intact. We don't lock anyone out of their own account. You reactivate anytime by updating payment information.
Term and Cancellation
This is a month-to-month agreement. Either party may terminate at any time by giving the other 30 days' written notice (email counts).
No penalties for cancellation. No hidden fees. Billing is cycle-to-cycle, so there are no prorated refunds — but your data is yours to take with you, and we'll help you leave gracefully.
- Upon termination, all data is exported in standard formats within 7 business days.
- Member portal remains accessible in read-only mode for 60 days after termination so members can retrieve their records.
- The Studio may reactivate within 60 days without re-onboarding or a new setup process.
Acceptable Use
You agree to use Tala lawfully and in good faith. You won't use Tala to send spam, harass your members, commit fraud, violate anyone's rights, or break the law. You are responsible for the content you put into Tala, for the accuracy of your member data, and for the legality of your own business operations.
Tala may suspend service if we reasonably believe it is being used to cause harm, with notice to the Studio except in emergencies. We'd rather talk first — we will, if there's any chance to.
No Warranties Beyond These Words
The service is provided "as is" and "as available." Beyond the specific commitments in this agreement, Tala makes no warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
Tala is software for running a yoga studio. It is not legal, tax, accounting, medical, or fitness advice. The Studio is responsible for compliance with its own regulatory obligations.
Liability and Risk
Tala's total liability to the Studio for any claim arising out of or related to this agreement, whether in contract, tort, or any other theory, is limited to the fees paid by the Studio to Tala in the 12 months preceding the event giving rise to the claim. If no fees have been paid, total liability is capped at $100.
In no event shall Tala be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of goodwill, loss of members, loss of data, or business interruption, even if Tala has been advised of the possibility of such damages.
This limitation reflects that Tala is software, not an insurer, and that both parties have priced and accepted this agreement with these limits in mind.
Indemnification
The Studio agrees to defend, indemnify, and hold harmless Tala and Sihaya LLC, its officers, members, and agents, from any third-party claims, damages, or expenses (including reasonable attorneys' fees) arising out of (a) the Studio's content or business operations, (b) the Studio's violation of this agreement or of any law, (c) the Studio's treatment of its own members, teachers, or staff, or (d) any claim that the Studio's content or practices infringe a third party's rights. Tala will promptly notify the Studio of any such claim and cooperate in defense.
Tala agrees to defend, indemnify, and hold harmless the Studio from any third-party claim that the Tala software as delivered infringes a US patent, copyright, or trade secret, subject to the liability cap in Section 15.
Acts of Prophecy
Neither party is liable for failure to perform due to circumstances beyond reasonable control: natural disasters, government action, pandemic, war, civil unrest, infrastructure failures, or other Acts of Prophecy.
Yes, we mean Force Majeure. But this is Sihaya.
What happens if something happens to Justin
Sihaya LLC is a single-member company. You deserve to know what that means for you if Justin Schafer — Sihaya's sole member — dies, becomes permanently incapacitated, or is unreachable for more than 60 consecutive days. This section activates on any of those three events, and it binds Sihaya and any successor to Sihaya the same way Justin is bound.
Your service continues
Tala is built to run with minimal human intervention. Scheduled jobs, renewals, member communications, and payments keep operating without daily oversight. On activation of this section, service continues for a minimum of 12 months, and longer as long as the infrastructure reserve Sihaya has set aside can fund it. The reserve is earmarked specifically for hosting, payment processing, messaging, and other infrastructure required to keep your studio running on Tala.
Your data is yours
At any time — with Justin alive or not — you can download a complete export of your studio's data in standard formats (CSV for tabular records, JSON for structured data). This right is not contingent on your account being paid up, active, or in good standing. If you need help triggering the export, Sihaya's named technical successor will assist.
You owe nothing from that moment
Billing stops the day this section activates. Any days you've already paid for the current lunar cycle are refunded prorated. You do not owe Sihaya — or Justin's estate — anything further, regardless of how long service continues beyond that date.
The named successor honors this
Two successor roles are named in Sihaya's operating agreement: (a) a legal successor with authority to act on Sihaya's behalf, and (b) a technical successor with full credential access to the infrastructure running Tala. These may be the same person or two different people. Both are bound by this section and carry its obligations forward.
Your studio's contact of record will be notified by the legal successor within 14 days of this section activating, along with instructions on how to reach them.
This section is in writing because trusting a one-person company with your studio's backbone is a real leap. We want you to know the landing pad is there.
Assignment and Changes
Neither party may assign this agreement without the other's written consent, except that Tala may assign this agreement to a successor entity in the event of a merger, acquisition, or sale of substantially all of Sihaya LLC's assets, with notice to the Studio.
We may update this agreement from time to time. If we make a material change, we'll email the Studio and post the new version at withtala.com/agreement with a new version number. Continued use of the service after 30 days' notice counts as acceptance. If you don't accept a change, you can cancel before it takes effect — no penalty.
Relationship of the Parties
Tala and the Studio are independent contractors. Nothing in this agreement creates a partnership, joint venture, franchise, employment, or agency relationship. Neither party may bind the other to any obligation.
Entire Agreement and Severability
This agreement, together with the privacy policy at withtala.com/privacy and the terms of service at withtala.com/terms, constitutes the entire agreement between the parties regarding the Tala service and supersedes all prior discussions, proposals, or agreements, written or oral.
If any provision is found unenforceable, the rest stays in effect. The parties will work in good faith to replace the unenforceable provision with an enforceable one that matches the original intent as closely as possible.
Any waiver must be in writing. Failure to enforce any provision is not a waiver of that provision.
Governing Law and Disputes
This agreement is governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. The parties consent to jurisdiction in the state and federal courts located in Wyoming for any action not subject to arbitration.
We want to resolve disputes like adults. Any dispute under this agreement will first be addressed by good-faith conversation between the parties within 30 days of notice. If that fails, the dispute will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules in Wyoming.
Each party waives any right to a jury trial and to participate in a class action against the other.
The Spirit of This Agreement
This agreement was written to be read by humans, not just lawyers. If something here conflicts with common sense or good faith, talk to us. We're building something together, not armoring against each other.
The goal: the Studio runs better. Members are happier. Teachers are supported. And if it ever stops working, we part as friends with your data in hand.
How You Accept
Acceptance happens inside the Tala owner app, at the dedicated agreement page shown to each studio owner after they sign in. By typing your legal name and clicking "I Agree & Sign" there, you enter this agreement on behalf of the Studio, affirm that you have authority to do so, and consent to use electronic signatures under the federal ESIGN Act and the Uniform Electronic Transactions Act (UETA).
This public page at withtala.com/agreement is the reference copy — anyone can read it, share it, or link to it. It is identical in wording to the copy shown for signing.
